Terms of Service

These terms apply when you buy an audit from SEO Proposal Audit, a service of Wuberlife LLC ("we", "us"). By paying for an audit you accept them.
1. What you are buying
One written audit of one SEO agency proposal, for a flat fee of $199 USD. We read the proposal line by line and send you a report covering scope, deliverables, contract terms, reporting, and price against market rates, with a verdict and a negotiation script.
2. Delivery
We deliver the report by email within 3 business days of a complete intake. An intake is complete when we have your proposal, your business URL, and your notes. If something is missing we will ask you for it, and the 3 business days start when we have it.
3. Follow-up questions
Follow-up questions about your report are included for 7 days after delivery. Reply to the delivery email. Questions about a different proposal, or a re-read after the agency revises its offer, are a new audit at the normal fee.
4. The audit is professional opinion
The report is our professional opinion. It is not legal advice, financial advice, tax advice, or an accounting service, and we are not your lawyer, accountant, or financial adviser. Have a qualified professional review any contract before you sign it.
5. No guarantee of outcomes
We do not guarantee any result from your dealings with an agency. We cannot promise the agency will lower its price, change its terms, keep to them, or deliver rankings, traffic, or revenue. SEO results depend on many things outside our view and outside our control. Decisions you make after reading the report are yours.
6. Independence
We are not affiliated with any SEO agency. We take no commissions, referral fees, kickbacks, or other payments from any agency, including agencies whose proposals we audit. Your fee is our only payment on your audit.
7. Your responsibilities
- You confirm you have the right to share the proposal and any other material you send us.
- You confirm that sharing it with us does not break a non-disclosure agreement or any other obligation you have.
- You are responsible for the accuracy of what you tell us. A report is only as good as the information behind it.
- Do not send us passwords, bank details, or personal data about other people.
8. Our use of the proposal
We use your proposal only to write your audit. We may keep anonymized benchmark figures, such as a price range or a contract term, with no client name, no agency name, and no document attached. See the Privacy Policy.
9. Intellectual property
Your proposal stays yours. The report we write stays ours, and you get a perpetual right to use it inside your business, including sharing it with your advisers and with the agency. Do not republish it, sell it, or present it as your own work.
10. Refunds
Refunds are covered by the Refund Policy, which is part of these terms.
11. Work we may decline
We may decline an audit, for example where there is a conflict of interest, where the material is not an SEO proposal, or where we cannot do useful work. If we decline, we refund you in full.
12. Limitation of liability
To the fullest extent the law allows, our total liability to you for any claim relating to the audit is capped at the fee you paid for that audit. We are not liable for lost profits, lost revenue, lost business, or any indirect or consequential loss. Nothing here limits liability that cannot be limited by law.
13. Governing law
These terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules. The courts of that state have exclusive jurisdiction.
14. Changes
We may update these terms. The terms in force when you pay are the ones that apply to your audit. The date at the top of the page shows the current version.
